A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE
CITY OF GRAND ISLAND,NEBRASKA,TO APPROVE A GOOD
LIFE DISTRICT AGREEMENT WITH WOODSONIA REAL
ESTATE INC AND/OR RELATED PARTY WOODSONIA GI GLD,
LLC, REGARDING FUNDING FROM THE CITY'S GOOD LIFE
DISTRICT ECONOMIC DEVELOPMENT PROGRAM
BE IT RESOLVED by the City Council of the City of Grand Island,Nebraska:
Section 1. The City Council (the "Council") of the City of Grand Island,Nebraska, (the "City")
hereby finds and determines as follows:
(a) On December 19, 2023,the Council adopted Resolution 2023-329 wherein the City stated
its intent to be an active participant in the Good Life District proposal as outlined by representatives from
Woodsonia Real Estate, Inc., ("Woodsonia RE"), to Council, which is available for viewing in the City
Clerk's Office and is incorporated herein by this reference(the"Original Proposal").
(b) On June 5, 2024, the Nebraska Department of Economic Development (the "DED")
approved a State Good Life Transformational Project Application (the "State GLD Application")
presented by Woodsonia RE for approval of a Good Life District which included, among other real estate,
Veteran's Village in the City.
(c) On August 13,2024,voters of the City authorized the City to establish a Good Life District
Economic Development Program (the "Program"), which was adopted by the City by and through
Ordinance 9938 and was effective September 3, 2024.
(d) The property included in the Master Plan adopted by the Grand Island City Council
(hereinafter referred to as "Council") on February 11, 2025 (hereinafter referred to as "Veteran's
Village"), includes approximately 225 acres of real estate. This property is all within the boundaries of the
Good Life District Program Area as set forth in Grand Island City Code Chapter 38, Article II, Section 1,
and is bounded on the south by the BNSF Railroad line and on the north by Airport Road/Highway 281.
The property is currently owned and controlled by the City, subject to existing easements and restrictions
of record and is in part under active lease(s)with farm tenants.
(e) Woodsonia GI GLD,LLC, has made representations to the City that it is a Related Person
(as defined in Article 38-II of City Code) to Woodsonia RE, (and together with Woodsonia RE herein
referred to as the "Developer") which has made application to the City for good life district incentives
under the Program (the "Good Life Incentive Proposal"). The Good Life Incentive Proposal requests
incentives to construct elements of the improvements at Veteran's Village which generally includes an
indoor sports complex element,multi-purpose all turf outdoor fields,an aquatic center,public infrastructure
improvements, multi-family and single-family housing, and commercial property, all as more fully
described in the Agreement defined below(the"Project").
(f) The Good Life Incentive Proposal was originally processed in accordance with Section 38-
19 of Grand Island City Code, but has since been handled outside of said process at the request of the
Developer.The City Council,having consented to the alternative procedures,authorizes modified proposals
and materials submitted to the City Council on June 2"d,2026 to be incorporated into the application process
in order to facilitate progress towards said incentives, subject to the supplementation required in the
"Agreement". At the conclusion of the June 2', 2026 study session of Council direction was given to
memorialize the proposed agreement with respect to incentives from the Program. These proposals have
been memorialized in a Good Life District Agreement,the form of which is presented with this resolution
(the"Agreement").
(g) It is appropriate and necessary for the City to enter into the Agreement for the purpose of
memorializing the agreements between the City and Developer with respect to the matters described therein
pursuant to Section 77-4412, R.R.S.Neb., as amended.
Section 2. The Agreement,in the form presented herewith,is hereby authorized and approved
in all respects, together with such changes and modifications as the Mayor deems necessary, desirable or
appropriate in the finalization thereof for execution.
Section 3. The Mayor is hereby authorized and directed to execute and deliver the Agreement
on behalf of the City. The Mayor, City Administrator, City Attorney, and their respective designees, are
authorized and directed to engage with the City's advisors and bond counsel in connection with issuance
of bonds payable from the Program all as contemplated and described in the Agreement, and to take such
other actions as determined necessary or appropriate to carry out the intent of the City as provided in the
Agreement.
